1. Introduction and acceptance

By using our website, requesting a quotation, or placing an order with GO Metrics Supplies, you agree to these Terms of Service. If you do not agree, please do not use our website or services.

These Terms apply to all visitors, customers and business partners of GO Metrics Supplies. Where a separate written contract has been signed between you and us, that contract prevails over these Terms to the extent of any conflict.

2. Definitions

  • "We", "us", "our" means GO Metrics Supplies.

  • "You", "Customer" means any person or business that uses our website, requests a quotation or buys from us.

  • "Products" means goods supplied by us, and "Services" means any related services, such as sourcing, logistics or installation support.

  • "Order" means a request to buy Products or Services that we have accepted in writing.

  • "Website" means www.gometricssupplies.com and all its pages.

3. Use of the website

You must be at least 18 years old, or the authorised representative of a business, to place an Order with us.

You agree not to:

  • Use the Website for any unlawful or fraudulent purpose.

  • Attempt to gain unauthorised access to our systems or interfere with the Website's operation.

  • Copy, scrape or reuse Website content for commercial purposes without our written permission.

  • Submit false, misleading or incomplete information.

We aim to keep the Website accurate and available, but we do not guarantee that it will be error-free or uninterrupted. Product descriptions, images and specifications are for guidance and may change without notice.

4. Quotations, orders and pricing

Quotations are valid for the period stated on them, or for 14 days if no period is stated. A quotation is an offer to sell, not a binding contract.

An Order becomes binding only when we confirm it in writing (including by email). We may decline any Order, for example where stock is unavailable, information is incomplete, or a pricing error has occurred.

Prices are quoted in US Dollars (USD) unless stated otherwise. Unless the quotation says so, prices exclude VAT, import duties, customs fees, transport and insurance, which will be added to your invoice.

We may adjust a quoted price before confirming an Order if supplier costs, exchange rates, duties or freight charges change significantly. We will tell you before any change takes effect, and you may cancel the Order without charge if you do not accept it.

5. Payment

Payment is due as stated on our invoice. Where no terms are stated, payment is due in full before dispatch.

We accept bank transfer and other methods we confirm in writing. You are responsible for all bank charges and transfer fees on your side, so that we receive the full invoiced amount.

If payment is late, we may:

  • Suspend or cancel deliveries until payment is received.

  • Charge reasonable interest and collection costs, as permitted by law.

  • Withdraw any credit terms previously agreed.

Orders for custom, special-order or imported Products may require a deposit, which is non-refundable once we have placed the order with our supplier.

6. Delivery, risk and ownership

Delivery dates are estimates. Delays caused by suppliers, customs clearance, transport or border conditions do not entitle you to cancel an Order or claim compensation, unless we agree otherwise in writing.

Delivery takes place at the location and on the terms stated in the Order confirmation. Where you collect Products from our premises, delivery takes place on collection.

Risk of loss or damage passes to you on delivery. Ownership of the Products passes to you only once we have received payment in full. Until then, you must store the Products separately and keep them insured.

7. Inspection, returns and warranties

Please inspect Products on delivery. You must notify us in writing of any shortage, damage or defect within 7 days of delivery, with photographs and the Order reference where possible. Products accepted without notice in that period are treated as delivered in good condition.

Returns are accepted only with our prior written approval. Products must be unused, in their original packaging and in resaleable condition. Custom, cut-to-size, special-order and consumable items cannot be returned unless defective.

Where a manufacturer's warranty applies, we will pass it on to you and help you make a claim. If a Product we supplied is confirmed to be defective, we will, at our option, repair it, replace it or refund its price.

We give no warranty that a Product is suitable for a particular purpose unless we have agreed that in writing. Warranties do not cover misuse, improper installation, normal wear, or failure to follow the manufacturer's instructions.

8. Limitation of liability and indemnity

To the fullest extent permitted by law, our total liability arising from any Order is limited to the price paid for the Products or Services concerned.

We are not liable for any indirect or consequential loss, including loss of profit, revenue, production, contracts or data, or downtime of equipment or operations.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded by law.

You agree to indemnify us against claims, losses and costs arising from your breach of these Terms, your misuse of the Products, or your violation of any law.

9. Intellectual property, privacy and third-party links

All content on the Website, including text, logos, images and layout, belongs to GO Metrics Supplies or its licensors. You may view and print it for your own business use, but not reproduce or distribute it without our written consent. Third-party brand names and trademarks belong to their respective owners.

We collect and use personal information, such as names, contact details and order history, only to respond to enquiries, process Orders and run our business. We do not sell your personal information. We take reasonable measures to keep it secure and will share it only with service providers who help us fulfil Orders, or where required by law.

The Website may link to third-party websites. We are not responsible for their content, availability or privacy practices.

10. Force majeure, termination and governing law

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, civil unrest, strikes, power outages, government action, border closures, or supplier and transport failures.

We may suspend or terminate any Order, or your access to the Website, if you breach these Terms or fail to pay amounts due. Sums already owed remain payable.

These Terms are governed by the laws of the Democratic Republic of Congo, including the applicable OHADA Uniform Acts. We will first try to settle any dispute amicably. If that fails within 30 days, the dispute will be referred to the competent courts of Lubumbashi.

11. Changes and general provisions

We may update these Terms from time to time. The updated version applies from the date it is posted on the Website, and does not affect Orders already confirmed.

If any provision of these Terms is found invalid, the rest remain in force. Our failure to enforce a right does not waive it. These Terms may be provided in French and English; in case of conflict, the French version prevails where required by law.
